Can a Seller Reduce California Real Estate Withholding?

An eligible seller may be able to elect an alternative California withholding calculation based on estimated gain rather than the standard sales-price method. This is not automatically the better choice and requires accurate information.

Why might the amounts differ?

A sales-price calculation applies a specified percentage to the relevant sales amount. An alternative calculation generally uses estimated gain and a rate associated with the seller's filing classification. If the property has a high basis and modest gain, the results can differ substantially.

What information is needed?

The seller may need:

  • Purchase price
  • Selling expenses
  • Prior depreciation
  • Basis adjustments
  • Qualifying improvements
  • Ownership percentage
  • Seller classification
  • Suspended losses or other specified items

What are the risks of guessing?

Understating gain or selecting an incorrect classification can create tax, interest, penalty, and filing problems. Overwithholding may unnecessarily reduce the seller's available closing proceeds until a tax return or other authorized process provides credit or relief.
